1. Agreement to Terms

Welcome to OrthoMax AI, operated by Creative Code CA INC ("Company," "we," "us," or "our"). By accessing or using our website, services, and AI-powered solutions for dental and orthodontic practices (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Creative Code CA INC.

2. Description of Services

OrthoMax AI provides AI-powered automation solutions designed specifically for dental and orthodontic practices, including but not limited to:

  • AI receptionist and call handling services
  • Automated appointment scheduling and management
  • Lead capture and follow-up automation
  • Patient communication tools
  • Practice analytics and reporting

3. Eligibility

The Services are intended for use by dental and orthodontic practice owners, administrators, and authorized personnel. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into these Terms
  • You are authorized to use the Services on behalf of your dental or orthodontic practice
  • Your use of the Services complies with all applicable laws and regulations

4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your account credentials confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

5. HIPAA Compliance

We understand the importance of patient privacy in healthcare settings. Our Services are designed with HIPAA compliance in mind. However, you acknowledge and agree that:

  • You are responsible for ensuring your use of our Services complies with HIPAA and other applicable healthcare privacy laws
  • You will enter into a Business Associate Agreement (BAA) with us if required by HIPAA
  • You will not transmit Protected Health Information (PHI) through our Services unless appropriate safeguards are in place
  • You will train your staff on proper use of the Services in compliance with privacy regulations

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any harmful, offensive, or illegal content
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services for any purpose other than their intended use
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use automated systems to access the Services without permission

7. Payment Terms

If you subscribe to paid Services, you agree to pay all fees associated with your selected plan. Payment terms include:

  • All fees are quoted in US dollars unless otherwise specified
  • Payments are due according to the billing cycle of your plan
  • We may change pricing with 30 days' notice
  • Refunds are provided in accordance with our refund policy
  • Failure to pay may result in suspension or termination of Services

8. Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Creative Code CA INC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Data Ownership

You retain ownership of all data you submit through our Services ("Your Data"). By using our Services, you grant us a limited license to use Your Data solely for the purpose of providing and improving our Services. We will not sell or share Your Data with third parties except as described in our Privacy Policy.

10. Service Availability

While we strive to maintain 99.9% uptime, we do not guarantee that the Services will be available at all times. We may suspend or discontinue the Services for maintenance, updates, or other reasons. We will provide notice of planned downtime when possible.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE CODE CA INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Creative Code CA INC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
